Contracts between affiliated companies, group structures and partner contracts are mapped via relationship tags. Attachments like annexes, T&Cs or the scope of services are linked to the main contract with versioning. Even parallel contract strands, for example a framework agreement plus individual orders, can be linked hierarchically. That way you see the status of all running individual orders right in the framework agreement, and no central record gets lost.

Contracts are signed eIDAS-compliant directly in DARION-AI: a qualified electronic signature (QES) for legally binding signatures, an advanced signature (AES) for internal workflows. Contract partners sign via a secure link without needing their own account and identify themselves via video ident or eID. Signed contracts are stored audit-proof, and the signature certificate becomes part of the audit trail. Bulk signatures for many NDAs at once are possible too, for example for 20 candidates during a recruiting wave. Signature certificates come from EU trust service providers, so eIDAS compliance is auditable, and time stamps from qualified trust service providers secure the signature time legally. For multi-step signing, say CEO plus authorised signatory, the workflow runs automatically in the right order. And for contracts with a written-form requirement under BGB, the QES can be combined with an electronic accompanying signature, so even classical written-form clauses are fulfilled digitally with legal certainty.

For every contract you define the term, the notice period and the renewal option. DARION-AI tracks deadlines automatically and notifies you 90, 60 and 30 days before the notice period, configurable per contract type. For critical contracts, say a contract value above a threshold or a strategic supplier, the system escalates to the CEO. Forgotten contract renewals and missed terminations are a thing of the past, and the AI helper even suggests the next action right in the notification text, for example 'write termination', 'negotiate renewal' or 'start vendor comparison'. The deadline dashboard gives you an overview of all deadlines for the next 12 months, sorted by importance and date. Service-level agreement reviews and annual price-adjustment clauses also trigger as deadlines, so you don't forget to start reviews or price negotiations on time. For tacit renewal the system warns particularly early: 120 days before the deadline, with escalation to management, so no contract obligation arises through the back door. Dates can optionally land in your Outlook calendar, so you're reminded of a deadline even without logging into DARION-AI.

Upload a contract and the AI helper automatically extracts contract parties, term, notice periods, liability limitation, jurisdiction and payment terms. Risk clauses like automatic renewal, unilateral adjustment rights or unusual liability rules are marked and shown with reasoning. The helper is Qwen3-based, self-hosted in the EU and learns from your contract templates without any data flowing out to US cloud services. For German-language standard contracts the hit rate is over 90%. You confirm or correct the extraction, the system learns from your corrections, and after 30 contracts most suggestions are directly acceptable. A risk score per contract combines contract value, term, liability cap and critical clauses, so you immediately recognise the trickiest contracts in your portfolio and can prioritise them. And when you compare several similar contracts, the AI helper creates a clause matrix covering liability, term, penalties and service levels. You see at a glance where your standard contracts deviate and which terms you should standardise across suppliers.

Every contract version is stored, and the diff viewer shows you the changes between versions with additions and deletions highlighted. Negotiation rounds with contract partners run through a structured workflow with comments, suggestions and acceptance or rejection per clause. Amendment contracts and addenda are linked to the main contract, and the AI helper summarises the changes between two versions in a single sentence. When multiple clauses are negotiated in parallel, the system keeps track for you: you see the status of each clause (open, in negotiation, accepted) and no longer have to dig through email threads to find out what was last agreed. External lawyer reviews can also be documented as comments per clause, so at the next contract negotiation you build on the last state instead of starting from scratch.
