Contracts are signed eIDAS-compliant directly in DARION-AI — qualified electronic signature (QES) for legally binding signatures, advanced signature (AES) for internal workflows. Contract partners sign via a secure link without their own account, with identification via video ident or eID. Signed contracts are stored audit-proof, the signature certificate is part of the audit trail. Bulk signatures for many NDAs at once are possible — for example during a recruiting wave for 20 candidates. Signature certificates come from EU trust service providers, eIDAS compliance is auditable. Time stamps from qualified trust service providers secure the signature time legally. For multi-step signing (CEO plus authorised signatory) the workflow runs automatically in the right order. For contracts with written-form requirement under BGB, the QES can be combined with an electronic accompanying signature, so even classical written-form clauses are fulfilled digitally with legal certainty.

Per contract you define term, notice period and renewal option. DARION-AI tracks deadlines automatically, notifications run 90, 60 and 30 days before notice period — configurable per contract type. For critical contracts (contract value above threshold, strategic supplier) the system escalates to the CEO. Forgotten contract renewals or missed terminations are history — the AI helper suggests the next action right in the notification text: 'write termination', 'negotiate renewal', 'start vendor comparison'. Overview of all deadlines for the next 12 months you see in the deadline dashboard, sorted by importance and date. Service-level agreement reviews and annual price-adjustment clauses also trigger as deadlines, so you don't forget to start reviews or price negotiations on time. For tacit renewal the system warns particularly early — 120 days before deadline with escalation to management, so no contract obligation arises through the back door. Dates optionally land in your Outlook calendar, so you're reminded of the deadline even without DARION-AI login.

Upload a contract, the AI helper extracts contract parties, term, notice periods, liability limitation, jurisdiction and payment terms automatically. Risk clauses like automatic renewal, unilateral adjustment rights or unusual liability rules are marked and shown with reasoning. Mistral-based, EU-hosted, learns from your contract templates without data outflow to US cloud services. For German-language standard contracts the hit rate is over 90%. You confirm or correct the extraction, the system learns from your corrections — after 30 contracts, suggestions are mostly directly acceptable. Risk score per contract combines contract value, term, liability cap and critical clauses, so in the portfolio you immediately recognise the trickiest contracts and prioritise. For comparison of multiple similar contracts the AI helper creates a clause matrix — liability, term, penalties, service levels — so you see at a glance where your standard contracts deviate and which terms you should standardise across suppliers.

Every contract version is stored, changes between versions you see in the diff viewer with highlighting of additions and deletions. Negotiation rounds with contract partners run through a structured workflow — comments, suggestions, acceptance or rejection per clause. Amendment contracts and addenda are linked to the main contract, the AI helper summarises changes between two versions in one sentence. For multiple clauses negotiated in parallel, the system keeps track — you see per clause the status (open, in negotiation, accepted) and don't have to search in email threads for what was last agreed.
